1. Definitions

In this Agreement, the following terms have the meanings set out below:

• "Heirloomly" / "We" / "Us" / "Our" — refers to the business entity operating under the name Heirloomly at 22 Charoen Krung Soi 30, Bang Rak, Bangkok 10500, Thailand.
• "You" / "Client" / "User" — refers to any individual accessing the website or engaging with our services.
• "Services" — refers to the family documentation and archival organisation services offered by Heirloomly, currently comprising Family History Recording Sessions, Records Index Packages, and Heritage Archive Setups.
• "Session" — refers to any appointment, visit, or working meeting carried out as part of a Service.
• "Output" — refers to any written document, booklet, index, or archive produced by Heirloomly for you as part of a Service.
• "Agreement" — refers to these Terms and Conditions together with any confirmed booking correspondence.

2. Acceptance of Terms

By submitting an enquiry form, confirming a booking by email, or making payment, you indicate that you have read, understood, and agreed to these Terms and Conditions.

Our Services are available to individuals aged 18 years and over. By engaging with us, you confirm that you are at least 18 years old and have the legal capacity to enter into a binding agreement under Thai law.

If you are engaging on behalf of another person or a family group, you confirm that you have authority to accept these terms on their behalf.

3. Service Description and Scope

Heirloomly provides family documentation and archival organisation services. Our three current service offerings are:

• Family History Recording Sessions — structured sessions to capture family history in writing, resulting in a printed keepsake booklet (฿3,600 per session).
• Records Index Package — cataloguing, labelling, and indexing of family documents, resulting in an organised collection and take-home reference index (฿8,400 per package).
• Heritage Archive Setup — comprehensive archive establishment covering documents, photographs, and memories, with digitisation planning and master index (฿29,500 per project).

Important — scope limitation: All Heirloomly services are educational and organisational in nature. We record, document, and organise. We do not provide legal advice, financial advice, estate planning, tax guidance, or any other form of professional advice of any kind. Nothing produced by Heirloomly constitutes or should be treated as professional advice of any kind. Clients requiring legal or financial guidance should engage appropriately qualified professionals.

Services are currently available in Bangkok, Thailand. Home visits are included for locations within central Bangkok. For locations outside central Bangkok, additional arrangements will be discussed and agreed separately before booking is confirmed.

4. Booking and Payment

4.1 Booking confirmation

A booking is confirmed when we send you written confirmation by email following receipt of payment or an agreed deposit. No booking is confirmed by enquiry alone.

4.2 Pricing

All prices are quoted in Thai Baht (THB) and are inclusive of all charges within the service scope as described. There are no additional fees for home visits within Bangkok or for bilingual output. Prices displayed on our website are current at the time of publication; we reserve the right to update them, but the price confirmed in writing at the time of booking will apply to your service.

4.3 Payment

Payment terms will be agreed at the time of booking. For Family History Recording Sessions and Records Index Packages, full payment is typically due before or at the start of the first session. For Heritage Archive Setup, a deposit of 50% is due upon confirmation, with the balance due at or before the final handover session.

4.4 Cancellation and rescheduling

We ask for at least 48 hours' notice for cancellation or rescheduling of any session, by telephone or email. Cancellations with more than 48 hours' notice will receive a full refund or, where preferred, rescheduling at no additional cost. Cancellations with less than 48 hours' notice may be subject to a fee of up to 50% of the session value, at our discretion, unless the cancellation is due to circumstances beyond your reasonable control.

5. Client Responsibilities

When engaging with our services, you agree to:

• Provide accurate and complete information when submitting enquiries or completing bookings
• Ensure that any family members participating in sessions are willing participants and have been informed that information shared during sessions will be documented in writing
• Not present documents or materials as belonging to you if they belong to another person without appropriate authority
• Not request that we produce documents containing false, misleading, or fabricated information
• Treat our staff and representatives with courtesy during sessions
• Use our website lawfully and not attempt to interfere with its operation

6. Intellectual Property

6.1 Outputs

All Outputs produced by Heirloomly as part of a Service — including keepsake booklets, document indexes, and archive structures — are owned by you upon full payment. You may reproduce, share, and distribute Outputs freely within your family.

6.2 Website content

All content on this website, including text, design, layouts, and images, is owned by or licensed to Heirloomly. You may not reproduce or use website content for any commercial purpose without our prior written permission.

6.3 Session frameworks

Our session frameworks, preparation guides, and internal processes are proprietary to Heirloomly and may not be reproduced or used commercially without our written consent.

7. Confidentiality

We treat all family information shared with us in the course of providing services as strictly confidential. We will not disclose, share, publish, or discuss the content of your sessions with any third party, except where required by law.

We do not retain copies of documents, photographs, or personal records belonging to you or your family. All such materials are returned to you in full. Our confidentiality commitment is ongoing and does not expire when a service is complete.

8. Disclaimers

Our services are provided in good faith on the basis of information you supply to us. We cannot verify the accuracy of family histories, dates, or other information shared during sessions. Outputs reflect the information as provided and documented during sessions; they do not constitute verified historical records.

Nothing produced by Heirloomly is intended to constitute or should be relied upon as legal, financial, estate planning, genealogical research, or any other form of professional advice. Any decisions you make based on information documented through our services are made at your own discretion.

Our website and services are provided on an "as available" basis. We make reasonable efforts to maintain service quality and delivery timelines but do not warrant that any particular outcome will be achieved.

9. Limitation of Liability

To the extent permitted by applicable Thai law, Heirloomly's total liability to you in connection with any service shall not exceed the total fees paid by you for that service.

We shall not be liable for any indirect, consequential, or special losses arising from your use of our services, including any reliance placed on Outputs for purposes beyond personal family use.

We are not liable for delays or failures caused by circumstances beyond our reasonable control, including illness, natural events, or disruption to transport or utilities.

10. Indemnification

You agree to indemnify and hold Heirloomly harmless from any claims, losses, or expenses (including reasonable legal fees) arising from your breach of this Agreement, from false or misleading information provided to us, or from any unauthorised use of Outputs produced under our services.

11. Termination

Either party may terminate a service engagement by giving reasonable written notice. If you terminate after a session has taken place, payment for sessions completed to the date of termination remains due.

We reserve the right to decline or terminate services where a client's conduct is abusive, unsafe, or inconsistent with the obligations in Section 5 of these Terms. In such cases, fees for any sessions completed will remain due.

12. Dispute Resolution and Governing Law

We aim to resolve any disputes informally and promptly. If you have a concern, please contact us first at [email protected] so we can work towards a resolution.

These Terms and Conditions are governed by and construed in accordance with the laws of the Kingdom of Thailand. Any disputes that cannot be resolved informally shall be subject to the exclusive jurisdiction of the courts of Bangkok, Thailand.

Your rights under the Thai Consumer Protection Act B.E. 2522 and related consumer legislation are not affected by these Terms.

13. General Provisions

• Entire agreement: This Agreement, together with any confirmed booking correspondence, constitutes the entire agreement between the parties in relation to the Services.
• Severability: If any provision of this Agreement is found unenforceable, the remaining provisions continue in full force.
• Waiver: Failure to enforce any provision of this Agreement does not constitute a waiver of our right to enforce it in future.
• Assignment: You may not assign your rights under this Agreement without our written consent. We may assign our obligations to a successor business.
• Notices: Formal notices under this Agreement should be sent by email to [email protected] or by post to our Bangkok address.

14. Changes to These Terms

We may update these Terms from time to time. The current version is always published on this page with the "Last updated" date shown at the top. For services already booked and confirmed, the Terms in force at the date of booking will apply unless you expressly agree to updated terms.
